Terms of Service

1. Acceptance of Terms

By creating an account on GovMatrixIQ (the "Platform"), operated by DRx Consulting Group LLC, you agree to these Terms on behalf of yourself and your organization. If accepting on behalf of an organization, you represent that you have authority to bind it.

2. Platform Description

GovMatrixIQ provides opportunity tracking, pipeline management, competitor analysis, FOIA research, AI-assisted proposal support, and compliance tools for federal contractors.

3. Subscriptions and Billing

Plans: Starter ($49/mo, 1 user) · Professional ($149/mo, 5 users) · Enterprise (custom, up to 15 users).

Free Trial: 3-day full access. Valid payment method required. Billing begins day 4 unless cancelled.

Refunds: All fees non-refundable except as required by law. Cancelled accounts retain access through current billing period.

4. Acceptable Use

You agree NOT to:

• Submit CUI, classified data, or ITAR/EAR technical data
• Engage in procurement fraud, bid rigging, or collusion
• Misrepresent business size, certifications, or socioeconomic status
• Reverse engineer or decompile the Platform
• Share credentials or allow unauthorized access
• Use automated scrapers or bots
• Resell or redistribute Platform data

5. AI Features — Disclaimers

AI output is for drafting assistance only. It does not constitute legal advice, compliance certification, or an official submission. All AI content must be reviewed by an authorized representative before government submission. Do not submit CUI to AI features.

6. Data Ownership

You retain ownership of all data you input. AI output based on your prompts belongs to you. We do not use your data to train AI models. The Platform, its code, design, and algorithms are IP of DRx Consulting Group LLC.

7. Government End Users

For U.S. Government entities, the Platform is "Commercial Computer Software" per FAR 12.212 and DFARS 227.7202.

8. Service Availability

We target 99.5% uptime. Scheduled maintenance: 24 hours' notice. Not liable for force majeure or third-party outages.

9. Indemnification

You indemnify DRx Consulting Group LLC from claims arising from your use, violations of Terms, violations of law, or submission of prohibited content.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

11. Limitation of Liability

TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE 3 MONTHS PRECEDING THE CLAIM. NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BIDS, OR LOST DATA.

12. Termination

• You may cancel anytime from Settings > Billing
• We may suspend for Terms violation with 30 days' notice
• Immediate suspension for fraud or security threats
• Data retained 90 days post-termination, then deleted

13. Export Controls

Subject to U.S. export control laws. Do not export to prohibited destinations or persons.

14. Governing Law

Governed by Florida law. Disputes resolved in Broward County, Florida courts.

15. Modifications

30 days' email notice for material changes. Continued use constitutes acceptance.
