End User License Agreement

1. License Grant

DRx Consulting Group LLC ("Licensor") grants you a limited, non-exclusive, non-transferable, revocable license to access and use GovMatrixIQ for your organization's internal government contracting purposes, subject to your active subscription.

2. License Restrictions

• No sublicensing, selling, leasing, or transferring access
• No copying, modifying, or creating derivative works
• No reverse engineering or decompiling
• No use to build a competing product
• No removal of proprietary notices
• No violation of applicable law or procurement regulations
• No exceeding seat limits or token allocations

3. Seat Limits

Starter: 1 user · Professional: 5 users · Enterprise: Up to 15 users. Exceeding limits or sharing credentials is a material breach.

4. Government Use

For U.S. Government acquisitions: "Commercial Computer Software" per FAR 12.212 and DFARS 227.7202. Manufacturer: DRx Consulting Group LLC.

5. Intellectual Property

The Platform, code, algorithms, designs, and documentation are exclusive property of DRx Consulting Group LLC. This EULA does not convey ownership.

6. Data Rights

You retain ownership of all data you input. We do not claim ownership of your pipeline data, capture plans, proposals, or user-generated content.

7. Termination

Terminates on subscription cancellation/expiration, material breach, or failure to pay. Upon termination, cease all use.

8. Export Compliance

Subject to U.S. export control laws. Comply with all applicable export regulations.

9. Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ALL WARRANTIES DISCLAIMED.
